As part of the Republic of Panama’s efforts to strengthen the integrity and transparency of its legal system, and in compliance with current legislation and international commitments, the Ministry of Economy and Finance (MEF) has issued Circular No. MEF-2026-3564. This circular announces the commencement of a non-voluntary dissolution process for legal entities, effective February 27, 2026.
Process Stages
The dissolution process will be executed in the following stages:
- Stage 1: Targeted at legal entities with a dissolution marginal note registered in the Public Registry due to non-payment of the annual corporate franchise tax (tasa única) for a period exceeding ten (10) years, pursuant to Article 318-A of the Tax Code.
- Stage 2: Targeted at legal entities with a “suspended” status in the Public Registry, in accordance with Article 318-A of the Tax Code (as amended by Law No. 52 of 2016 and Law No. 254 of 2021). This includes entities that present:
- Three (3) or more years of delinquency in the payment of the tasa única;
- More than ninety (90) days without a registered agent;
- Non-compliance with obligations for which the legal sanction is the suspension of corporate rights.
